TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern the access to and use of the website, services, deliverables, communications, and professional engagements of Key Litigants Yard OPC Pvt. Ltd., a company incorporated under the Companies Act, 2013, having its registered office in Lucknow, Uttar Pradesh, India (hereinafter referred to as the “Company”, “KLY”, “we”, “us”, or “our”).

The Company is a professionally managed legal, tax, and regulatory consultancy firm providing advisory, compliance, representation, and allied professional services across India through its in-house team and a strong network of experienced associates in major cities.

These Terms are issued under the authority of Dr. Krishana Lal Yadav, Director of Key Litigants Yard OPC Pvt. Ltd., and shall be binding on all clients, users, visitors, counterparties, vendors, and any person availing or accessing the services of the Company.


1. ACCEPTANCE OF TERMS

By accessing, browsing, engaging, retaining, or availing any service of Key Litigants Yard OPC Pvt. Ltd., whether digitally, physically, verbally, or through written communication, the user/client expressly agrees to be bound by these Terms, all applicable laws including but not limited to the Bharatiya Nyaya Sanhita, 2023 (BNS Act), Bharatiya Nagarik Suraksha Sanhita, 2023, Bharatiya Sakshya Adhiniyam, 2023, Companies Act, 2013, Income Tax Act, 1961, GST Acts, and other applicable Indian statutes.

If you do not agree with any part of these Terms, you must immediately discontinue use of the services.


2. DEFINITIONS AND INTERPRETATION

  • “Client” means any individual, entity, company, firm, trust, society, or authority that engages Key Litigants Yard OPC Pvt. Ltd. for services.

  • “Services” include legal consultancy, litigation support, taxation advisory, regulatory compliance, documentation, opinions, representations, and allied professional services.

  • “Director” refers to Dr. Krishana Lal Yadav, Director of Key Litigants Yard OPC Pvt. Ltd.

  • “Applicable Law” includes all Indian laws in force including the BNS Act.

Headings are for convenience only and shall not affect interpretation.


3. SCOPE OF SERVICES

Key Litigants Yard OPC Pvt. Ltd. provides services including but not limited to:

  • Legal advisory under civil, criminal, commercial, corporate, constitutional, and regulatory laws

  • Criminal law advisory in accordance with the Bharatiya Nyaya Sanhita (BNS Act)

  • Litigation strategy and case management

  • Taxation advisory under Income Tax, GST, Customs, and allied laws

  • Corporate compliance and regulatory filings

  • Drafting of legal documents, agreements, notices, and opinions

  • Representation before courts, tribunals, authorities through authorized associates

All services are advisory in nature unless expressly agreed otherwise in writing.


4. NO ADVOCATE-CLIENT RELATIONSHIP BY DEFAULT

Accessing information or making an enquiry with Key Litigants Yard OPC Pvt. Ltd. does not automatically create an advocate-client or professional-client relationship. Such relationship shall arise only upon:

  • Written engagement

  • Acceptance of mandate by the Company

  • Payment or agreement of professional fees


5. PROFESSIONAL STANDARDS AND ETHICS

The Company operates on principles of integrity, confidentiality, competence, and ethical conduct. All services are delivered in accordance with professional standards and applicable ethical guidelines.

Key Litigants Yard OPC Pvt. Ltd. does not encourage or support illegal activities, suppression of facts, misuse of law, or violation of the BNS Act or any other statute.


6. CLIENT OBLIGATIONS

Clients shall:

  • Provide true, complete, and accurate information

  • Disclose all material facts relevant to the matter

  • Cooperate in a timely manner

  • Make timely payments of fees and expenses

  • Comply with applicable laws including the BNS Act

The Company shall not be responsible for adverse outcomes arising from incorrect or incomplete information provided by the client.


7. FEES, BILLING, AND PAYMENTS

Professional fees are determined based on complexity, urgency, expertise, and scope of work.

  • Fees once paid are non-refundable unless agreed otherwise in writing

  • Taxes shall be charged as applicable

  • Delay in payment may result in suspension of services

Key Litigants Yard OPC Pvt. Ltd. reserves the right to revise its fee structure.


8. CONFIDENTIALITY

All client information is treated as confidential and shall not be disclosed except:

  • As required by law or court order

  • Under obligations imposed by the BNS Act or other statutes

  • With client consent

Confidentiality obligations survive termination of engagement.


9. DATA PROTECTION AND PRIVACY

The Company complies with applicable data protection laws. Client data is used solely for professional purposes and regulatory compliance.

Unauthorized access, misuse, or data breaches caused by third parties shall not create liability unless due to gross negligence.


10. INTELLECTUAL PROPERTY RIGHTS

All content, opinions, drafts, strategies, and materials developed by Key Litigants Yard OPC Pvt. Ltd. are its intellectual property unless agreed otherwise.

No client may reproduce, distribute, or commercially exploit such content without prior written consent.


11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • The Company shall not be liable for indirect, consequential, or incidental damages

  • Liability, if any, shall be limited to the professional fees paid for the specific engagement

No guarantee of outcome is provided in any legal or tax matter.


12. DISCLAIMER UNDER BNS ACT

Legal opinions and advice are based on prevailing interpretation of law including the Bharatiya Nyaya Sanhita (BNS Act) and are subject to judicial discretion, amendments, and evolving jurisprudence.


13. TERMINATION OF ENGAGEMENT

The Company may terminate services:

  • For non-payment of fees

  • For conflict of interest

  • For unethical or illegal client conduct

  • If continuation violates the BNS Act or other laws

Clients may terminate engagement with written notice subject to settlement of dues.


14. CONFLICT OF INTEREST

Key Litigants Yard OPC Pvt. Ltd. reserves the right to decline or withdraw from matters involving conflict of interest in accordance with professional ethics.


15. FORCE MAJEURE

The Company shall not be liable for failure or delay due to events beyond reasonable control including natural disasters, strikes, governmental actions, court closures, or changes in law.


16. THIRD-PARTY ASSOCIATES

Services may be rendered through empaneled advocates, consultants, or associates. The Company exercises due diligence but shall not be liable for independent acts beyond its control.


17. COMMUNICATION AND ELECTRONIC RECORDS

Electronic communications shall be deemed valid. The Company is not responsible for delays or failures in electronic transmission.


18. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India including the Bharatiya Nyaya Sanhita, 2023.

Courts at Lucknow, Uttar Pradesh shall have exclusive jurisdiction.


19. AMENDMENTS

Key Litigants Yard OPC Pvt. Ltd., under the direction of Dr. Krishana Lal Yadav, reserves the right to modify these Terms at any time without prior notice.


20. SEVERABILITY

If any provision is held invalid, the remaining provisions shall continue in full force.


21. ENTIRE AGREEMENT

These Terms constitute the entire understanding between the client and Key Litigants Yard OPC Pvt. Ltd. and supersede all prior communications.
